STANDARD TERMS AND CONDITIONS OF SALE

1. Prevalence and Exclusivity

The client explicitly waives their own standard terms and conditions, even if those terms were drafted after these Standard Terms and Conditions of Sale. Any derogation, modification, or amendment to this agreement must be expressly agreed upon in advance and in writing by Cirrusgo to be considered valid.

2. Payment Terms and Late Interest

Our invoices are payable within 21 working days from the date of issue, unless an alternative payment timeframe is explicitly stated on the invoice or the official purchase order.

In the event of non-payment by the due date:

  • Cirrusgo reserves the right to charge a fixed interest penalty amounting to 10% of the remaining outstanding balance.
  • Cirrusgo is authorized to suspend the provision of all current and pending services immediately and without prior warning.

3.Debt Recovery and Legal Expenses

If an invoice remains outstanding for more than sixty (60) days beyond the designated due date, Cirrusgo reserves the right to engage the services of a professional debt recovery agency or legal counsel. All associated legal fees, administrative expenses, and collection costs will be fully payable by the client.

4. International Taxes and Withholdings

Certain countries apply withholding taxes at source on invoice amounts in accordance with their local jurisdictions.

  • Any such withholding tax or local duty must be paid directly by the client to their respective tax authorities.
  • Under no circumstances will Cirrusgo absorb or be held liable for costs related to a specific country’s local tax legislation.
  • Consequently, the invoice amount must be paid to Cirrusgo in its entirety, net of any local taxes, deductions, or country-specific fees.

5. Limitation of Liability and Scope of Service

Cirrusgo undertakes to deploy its best efforts to deliver high-performance services in a timely manner and according to the agreed schedule. However, all obligations of Cirrusgo are structured as obligations of means, not of results (best-effort basis).

Furthermore, Cirrusgo cannot, under any circumstances, be required by the client to appear as a third party or co-defendant in any claims for damages filed against the client by an end-user or consumer.

6. Claims and Discrepancies

To be admissible, any claim, dispute, or grievance regarding delivered goods or rendered services must be submitted to Cirrusgo via recorded/certified mail to its registered office within 8 calendar days following the delivery of the goods or the completion of the services.

7. Governing Law and Jurisdiction

All contractual relationships, agreements, and transactions between the parties shall be governed exclusively by, and construed in accordance with, the laws of Jordan.
